Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the services operated by Tell Your Friends LLC ("TYF," "we," "us"), including the Live Archive product and the broader TYF Tools platform (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
1. The Service
The Service is an event production platform for event producers, venues, and festivals. It includes tools for event booking and pipeline management, contracts and advances, financial settlements and payouts, show-day operations (including guest check-in and drink menus), promotional QR tracking, and audience media collection: pages where event attendees can submit photos, videos, and text that producers can moderate, display at the venue, and publish to a public archive page.
2. Accounts and Eligibility
You must be at least 18 years old and capable of forming a binding contract to create an account. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at tellyourfriendsxyz@gmail.com if you suspect unauthorized use of your account.
3. Plans and Payment
Paid access is offered as per-event purchases and as recurring subscriptions. Payments are processed by Stripe; we do not collect or store your card numbers. By providing a payment method you authorize Stripe to charge it for the plan you select, including recurring charges for subscriptions until you cancel.
Subscriptions renew automatically at the end of each billing period. You can manage, cancel, or update your subscription and payment method at any time through the customer billing portal available from your account. Cancellation stops future renewals; your plan remains active through the end of the period you have already paid for.
Prices may change. If we change the price of a subscription you are on, we will give you notice before the change applies to your next renewal.
4. Refunds
Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods, including periods where you did not use the Service. If you believe you were charged in error, contact us and we will review it.
5. Free Trial
New producer accounts may create one event free of charge to evaluate the Service. The free trial does not require a payment method. We may modify or discontinue the free trial at any time, and we may decline trial access to accounts we reasonably believe are abusing it (for example, by creating multiple accounts).
6. Acceptable Use
You agree not to, and not to permit others to:
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- upload or solicit content that is infringing, defamatory, harassing, or that you do not have the rights to use;
- upload malicious code or attempt to probe, breach, or circumvent the Service's security or access controls, including plan limits;
- scrape, harvest, or misuse personal data of attendees, guests, or other users beyond what the Service is designed to provide;
- resell, sublicense, or white-label the Service except as expressly permitted by your plan;
- interfere with or disrupt the integrity or performance of the Service.
We may remove content or suspend accounts that we reasonably believe violate this section.
7. Content and Ownership
Your data. Producers own the data they bring to the Service: event details, guest lists, contracts, settlement figures, branding, and other business records. We claim no ownership of it. You grant us a limited license to host, process, display, and transmit that data solely as needed to operate and support the Service.
Financial data access.Your financial records (settlements, payouts, offers, and artist guarantees) are visible to TYF's support tooling only as permitted by your account's financial privacy setting, which is enforced at the database level. As with any hosted platform, infrastructure-level access to the database that runs the Service still exists; we use it only to fulfill support requests, to debug problems with your consent, or to comply with legal requirements. Audience submissions.When an attendee submits photos, videos, or text through an event's submission page, the attendee retains ownership of their content. By submitting, and as set out in the rights consent presented at the time of submission, the attendee grants a license to both the event's producer and to TYF to host, display, reproduce, and use that content in connection with the event and its archive, consistent with the consent collected. Producers are responsible for using audience submissions only within the scope of that consent.
Our platform. The Service itself, including its software, design, and trademarks, is owned by TYF and its licensors. These Terms do not grant you any rights in it except the right to use the Service as described.
8. Service Availability
We work to keep the Service available and reliable, but it is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. You are responsible for maintaining independent copies of business-critical records.
9. Limitation of Liability
To the maximum extent permitted by law, TYF will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, TYF's total aggregate liability for all claims arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service. After termination, we may delete your data following a reasonable wind-down period (generally 30 days), except where we are required to retain it (for example, payment records). Sections that by their nature should survive termination (including Sections 7, 9, and 12) survive.
11. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will give notice by email or in the Service before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The "Last updated" date above reflects the current version.
12. Governing Law
These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in Louisiana, and you consent to their jurisdiction.
